Should I incorporate provincially or federally?
It depends on where you will do business and how widely you want your name protected. Federal incorporation protects the corporate name across Canada; provincial incorporation is often simpler for a company operating in one province. That is exactly the kind of question the lawyer will settle with you — in the form, you can answer "I don’t know".
Do I really need a shareholder agreement?
As soon as there is more than one shareholder, yes. It is the document that sets out what happens if a co-founder wants out, does not deliver their share of the work, or disagrees with a decision. Drafting it at the start costs a fraction of what a partner dispute costs later.
